DAVID V. FACEY, BA, LLB
Executive Biography – October 2005
Mr. Facey has excellent credentials and experience to fill the key role of Director of GRG’s Legal Department. GRG’s success, to a large degree, will depend on the quality and foresight built into the huge number of legal documents which must be very carefully planned and executed from the moment of major funding onward. In addition, Mr. Facey’s reputation, energy, and enthusiasm for the future of GRG ensure that the critically important and extensive legal issues of GRG will be well taken care of.
- University of Calgary: Graduated with a BA in Economics in 1988; also received the Students' Union Special Award for Most Outstanding Graduate of 1988.
- Queen's University at Kingston, Ontario: Graduated with an LLB in 1992; has since been called to the Bar in Alberta, Nova Scotia and British Columbia.
- Practised corporate/commercial law in Calgary, advising clients on such matters as asset purchase agreements, share purchase agreements, corporate lending agreements, secured transactions and private share placements as well as advising international clients relocating personnel to Canada.
- Senior member of an internationally assembled team working on the Sable Offshore Energy Project in Halifax, Nova Scotia. This project - consisting of offshore natural gas production facilities, sub-sea pipelines and onshore processing facilities - was the largest construction project underway in North America at the time. Seconded from his employment with ExxonMobil, David was the senior legal counsel to Sable Offshore Energy Inc., owned by ExxonMobil, Shell, and Imperial Oil. Provided advice on wide ranging issues including those arising out of competing regulatory regimes, varied commercial/contractual issues, insurance, First Nations, supply chain, and corporate governance. He was also an officer of the company, serving as its Corporate Secretary.
- In 2000, joined the legal team of B.C. Hydro & Power Authority, and was selected to serve as lead counsel to its wholesale power marketing subsidiary, Powerex Corp. Served as the lead counsel for this entrepreneurial affiliate at the peak of the California Energy Crisis (during which time the corporation's revenues exceeded $1 Billion annually) and its aftermath. Also provided advice and counsel to Powerex regarding complex international energy trading agreements, derivative transactions, a US$100 million international commercial arbitration, and several high profile US bankruptcies (including two of the largest in US history: Enron and Pacific Gas & Electric).
- Also while at B.C. Hydro, provided advice on complex tendering processes for the construction of and output from new power generation projects to serve significant portions of British Columbia.
- In addition to his extensive experience providing legal advice to a range of clients in the energy sector (both public and private), David has supervised internal and external lawyers (locally and internationally) in the delivery of legal services. His B.C. Hydro managerial responsibilities extended beyond the legal role, supervising corporate functions and staff charged with engaging in strategic relationships with key stakeholders including suppliers, industrial customers, and government agencies.
- David is available to serve GRG in a central role as the company’s in-house General Counsel.
